Terms of Service

1. Acceptance of Terms

By accessing or using Ordia (the "Service") operated by Asahi Fujisawa (doing business as Nodelink, hereinafter "we," "us," or "our"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, please do not use the Service.

2. Description of Service

Ordia is a SaaS platform that analyzes data from Slack, GitHub, and Jira using artificial intelligence (including the OpenAI API) to provide development teams with insights, notifications, and workflow automation. The Service is offered on a subscription basis.

3. AI Disclaimer

The Service uses artificial intelligence to generate analysis, insights, and recommendations. You acknowledge and agree that:

  • AI-generated outputs are provided "as is" with no warranty as to accuracy, completeness, or reliability.
  • AI may produce inaccurate, incomplete, misleading, or inconsistent results.
  • You are solely responsible for any decisions or actions taken based on AI-generated content.
  • We are not liable for any damages arising from reliance on AI outputs, including but not limited to business decisions, personnel actions, or project management choices.
  • AI outputs should not be used as the sole basis for any important business decision.

4. Third-Party Services

The Service integrates with and depends on third-party services including, but not limited to:

  • Slack Technologies, LLC
  • GitHub, Inc.
  • Atlassian (Jira)
  • OpenAI, L.L.C.
  • Amazon Web Services (AWS)
  • Stripe, Inc.
  • Cloudflare, Inc.

We do not control these services and are not responsible for their availability, performance, changes, outages, or discontinuation. Interruptions, delays, or changes to third-party services may affect the functionality of Ordia, and we are not liable for any such impact.

5. Accounts and Access

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Abuse, overload, or misuse the API beyond reasonable use
  • Attempt to gain unauthorized access to the Service or related systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Interfere with or disrupt the Service or its servers
  • Share account credentials or permit unauthorized access
  • Access the Service through automated means other than the provided API

We reserve the right to suspend or terminate your account immediately and without notice for violations of these Terms.

6. Subscriptions and Billing

Payments for the Service are processed through Stripe, Inc.

  • Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled.
  • Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • No Refunds: All fees are non-refundable except as required by applicable law. No refunds or credits are provided for partial subscription periods.
  • Price Changes: We may change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Data

You retain ownership of your data. By using the Service, you grant us a limited license to process your data to the extent necessary to provide the Service.

  • Retention: Your data is retained while your account is active. Upon account deletion, we will delete your data within 30 days, except where retention is required by law.
  • Service Improvement: We may use anonymized and aggregated data — from which neither you nor your organization can be identified — to improve the Service.
  • AI Processing: Your data may be processed by AI systems. Please refer to our Privacy Policy for details.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
  • OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Asahi Fujisawa (Nodelink) from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or your violation of these Terms.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Japan. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Oita District Court as the court of first instance.

12. Changes to These Terms

We may update these Terms at any time. For material changes, we will provide advance notice via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. General

  • Entire Agreement: These Terms constitute the entire agreement between you and us with respect to the Service.
  • Severability: If any provision is found to be unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign our rights freely.
